Terms and conditions

This website and the services available at backpr.com and related subdomains (collectively, the Site and the Services) are provided by BackPR, a trade name used by the operators of the Site (BackPR, we, us, our). BackPR is not a law firm and does not provide legal advice.

Your access to and use of the Site and the Services indicates that you have read, understood, and agree to be bound by these Terms and all policies referenced in them, including our Privacy Policy, Refund and Returns Policy, and Referral Program Terms. If you do not agree, do not access or use the Site or the Services.

BackPR lists a shared coworking location for correspondence: 71 5th Avenue, 2nd Floor, New York, NY 10003. It is not a retail office and visits are by appointment only. Listing a mailing address or shared workspace does not create a physical office open to the public. Acceptance of mail at that address does not waive any service-of-process requirements under applicable law, nor does it designate any person or location as an agent for service of process.

Operator identification: BackPR is a trade name used by the operators of the Site. References to BackPR, we, or us mean the person(s) or entity operating the Services under that trade name. Where required by law, the operator’s legal name and any assumed-name or DBA registration will be disclosed in order confirmations or on a legal notices page.

1. Description of the services

BackPR provides software and related materials to help schools, camps, and program operators manage growth activities, including anonymous reporting tools, websites and enrollment pages, learning management features, communications, analytics, and facilitation of PR or media placement with third parties. We may add, modify, or discontinue features at any time.

1A. Business use; registrant transactions

The Services are intended for business and organizational use by schools, camps, and similar program operators. If a parent or registrant pays for or enrolls in a program through pages powered by the Services, the transaction is between the registrant and the applicable Subscriber. BackPR is not a party to, and is not responsible for, such transactions, refunds, or program delivery by Subscribers.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for your account credentials, for all activity under your account, and for keeping your information current and accurate. We may decline, suspend, or terminate accounts for any reason allowed by law, including suspected abuse, security risk, or non-payment.

3. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes unlawful activity, harassment, fraud, interference with the Services, entering children’s personal data without verifiable consent from a parent or legal guardian, uploading malicious code or attempting to access non-public areas, reselling, sublicensing, scraping, or reverse engineering the Services, sending spam or misrepresenting identity, infringing third-party rights, or using the Services to create competing datasets or benchmarks without permission. Prohibited content includes child sexual abuse material or exploitation, threats of violence or self-harm, doxxing, hate or terrorist content, and material that violates privacy or intellectual-property rights. We may investigate violations and cooperate with law enforcement.

4. Your content and data responsibilities

You retain ownership of content you upload or submit. You grant BackPR a worldwide, non-exclusive, royalty-free license to host, process, and display your content only to provide and improve the Services. You represent that you have all rights and consents needed for the content you submit, including parental or guardian consent where required for children’s data. You are responsible for configuring how you collect data from families and for honoring your own privacy notices.

5. AI-assisted features

The Services may draft emails, pages, campaigns, or summaries using automated systems. Outputs can be inaccurate or incomplete and must be reviewed by a qualified human before use. You are responsible for all use of generated content and for compliance with applicable laws and policies.

6. Third-party services

BackPR may integrate with or reference third-party services such as payment processors, analytics providers, media networks, and communication tools. Those services are governed by their own terms and privacy practices. We are not responsible for third-party acts or omissions.

7. Payments, auto-renewal, taxes, and refunds

Paid plans, add-ons, and credits are billed in advance and auto-renew until cancelled. By starting a paid plan you authorize recurring charges to your payment method at the then-current price unless you cancel as described below.

Free trials are not offered. Guarantee windows and refunds are governed solely by our Refund and Returns Policy.

We may change prices or features with notice permitted by law. Changes take effect on the next billing cycle. If you do not agree, cancel before the renewal date.

You can cancel any time via support; cancellation takes effect at the end of the current billing period. To avoid renewal, cancel at least five business days before the renewal date. We send an acknowledgment email at sign-up summarizing key auto-renewal terms, and for annual plans a renewal reminder 15 to 45 days before renewal where required by law.

Amounts may be shown or settled in different currencies. Exchange rates, network or processor fees, and bank charges may apply and are your responsibility unless we state otherwise in writing.

You are responsible for applicable taxes; we may charge and remit where required.

7A. Referral Program

Participation in the BackPR Referral Program is governed by the Referral Program Terms published on the Site. In case of conflict between these Terms and the Referral Program Terms regarding referral payouts, tracking, KYC, or clawbacks, the Referral Program Terms control; otherwise these Terms apply.

7B. Payout methods; AML/KYC

We may offer payout options such as PayPal or approved digital assets. We may require identity, tax, and sanctions screening (KYC and AML) before issuing payouts and may decline, freeze, or reverse payouts where required by law or risk policy.

8. License and intellectual property

Subject to your compliance with these Terms and payment of applicable fees, BackPR grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. All software, documentation, logos, trade names, and content in the Services are owned by BackPR or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated. You may not use our marks without written permission.

8A. Publicity

Unless you opt out by written notice, you grant us the right to use your organization name and logo to identify you as a customer on our websites and marketing materials. This does not allow disclosure of confidential information.

9. Confidentiality and security

Each party may receive non-public information from the other. You agree to protect our confidential information at least as carefully as your own and to use it only as needed to use the Services. We implement reasonable technical and organizational measures as described in our Privacy Policy, but no system is perfectly secure.

10. Privacy and data protection

Our Privacy Policy explains how we collect, use, and share personal information and forms part of these Terms. If you upload children’s data, you represent that you have obtained all necessary permissions and that you will comply with applicable laws such as COPPA, FERPA, and GDPR where relevant. 10A. DMCA notice and takedown

We respond to notices of alleged copyright infringement under 17 U.S.C. §512. Our designated agent, as registered with the U.S. Copyright Office, may be contacted at: DMCA Agent, BackPR, 71 5th Avenue, 2nd Floor, New York, NY 10003; email: support(at)backpr(dot)com with subject line DMCA. We may remove or disable access to alleged infringing material and, where appropriate, terminate repeat infringers. Counter-notifications must comply with §512(g).

10B. Data processing addendum and sub-processors

A data processing addendum is available upon request or at /legal/dpa. We may update our list of sub-processors at /legal/subprocessors and will provide notice of material changes as required by law. We remain responsible for our sub-processors’ performance to the extent required by law.

11. Marketing communications

You may receive administrative or marketing communications. You can opt out of non-essential marketing at any time. Transactional and service notices will continue.

You consent to receive disclosures, notices, contracts, and communications electronically, including by email, in-product messages, or supported messaging services. If SMS or phone communications are offered, you consent to receive them at the numbers you provide and may opt out at any time. Electronic signatures and records associated with the Services are valid and enforceable to the fullest extent permitted by law.

12. No guarantees of results

BackPR provides tools that may support safety, enrollment, delivery, and visibility, but BackPR does not guarantee specific outcomes such as increased enrollments, revenue, search ranking, or media placement. Testimonials and case studies are illustrative only.

12A. No emergency or professional advice

The Services are not a replacement for emergency services, law enforcement, medical care, mental-health care, legal advice, or compliance advice. Do not use the Services to report events presenting an immediate threat. Contact local authorities instead. Any guidance or AI-assisted output is provided for informational purposes only and must be reviewed by qualified personnel.

13. Beta or preview features

We may offer early access features for testing. Beta features are provided as-is, may change or discontinue, and may be subject to additional terms.

14. Suspension and termination

We may suspend or terminate access immediately for violations of these Terms, risk to users, security concerns, or failure to pay. You may cancel at any time via support; cancellation takes effect at the end of the current billing period. Sections intended to survive, including ownership, confidentiality, disclaimers, limitations, indemnities, and dispute resolution, will survive termination.

15. Disclaimers

The Site and the Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, BackPR disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. You are responsible for ensuring the Services meet your needs before use.

15A. Service availability

We may perform scheduled or emergency maintenance and will make commercially reasonable efforts to minimize downtime. The Services may be unavailable during maintenance, network or provider outages, or events outside our reasonable control.

16. Limitation of liability

To the fullest extent permitted by law, BackPR will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility of such damages. BackPR’s total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the amounts you paid to BackPR for the Services in the twelve months before the event giving rise to liability. Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the maximum extent permitted.

17. Indemnification

You agree to defend, indemnify, and hold harmless BackPR and its operators, affiliates, and personnel from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your content, your use of the Services, your breach of these Terms or policies, or your violation of law or third-party rights.

18. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on the Site or sent by email where feasible. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

19. Governing law, arbitration, and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Except for claims that may be brought in small claims court, any dispute arising out of or relating to the Services or these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration is New York, New York, and one arbitrator will preside. You and BackPR waive any right to a jury trial and to participate in a class or representative action. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

20. Export and sanctions compliance

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any embargoed country, and are not a denied, sanctioned, or restricted party under United States, United Kingdom, or European Union laws. You will not export, re-export, or provide access to the Services in violation of applicable export-control or sanctions laws.

21. Force majeure

BackPR will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, labor disputes, power failures, network outages, or governmental actions.

22. Notices and contact

Legal notices to BackPR must be sent by email to support(at)backpr(dot)com with a copy by mail to BackPR, 71 5th Avenue, 2nd Floor, New York, NY 10003. Email is the preferred method for faster routing. Notices to you may be sent to the email associated with your account or posted within the Services. Acceptance of notices at a mailing address or email does not waive statutory service-of-process requirements and does not designate any person or location as an agent for service of process.

23. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.

24. Entire agreement and severability

These Terms together with the policies referenced herein are the entire agreement between you and BackPR regarding the Services and supersede prior or contemporaneous understandings. If any provision is held unenforceable, the remaining provisions will remain in full force and will be construed to effect the parties’ intent.

24A. Relationship of the parties

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and BackPR. No party has authority to bind the other.
